About the Business Terms

These Business Terms setout the terms and conditions for your business account (the “dopay businessaccount”) and its related services. It also sets out other important thingsthat you need to know. Our latest Business Terms are available on www.dopay.com or you can request a copyfrom your dopay success manager.

These Business Terms along with the Application Form and our Privacy Policy form a legal agreement between:

  • you, the holder of the dopay business account;
  • and us, Dopay LLC.

These Business Terms do not apply for a dopay account for personal purposes (the “dopay personal account”). You’ll need to sign Personal Terms for using a dopay personal account.

Who is dopay?

dopay is a fintech company that provides payroll and payment services to both businesses and their employees, contractors and/or other beneficiaries. We provide dopay business accounts and related services to companies. We provide dopay personal accounts, prepaid cards and related services to employees, contractors and other beneficiaries (the “beneficiaries”).

How are we licensed?

We offer our services in partnership with Arab Banking Corporation Egypt SAE (the “partner bank”), an Egyptian bank regulated by the Central Bank of Egypt. The partner bank has obtained a license from the Central Bank of Egypt for dopay to offer the services as described in this Agreement and act as a Bank Agent.

Your dopay business account

Subject to acceptance by the partner bank, we will open a dopay business account for you. This is a virtual account in your name in which your funds will be held. You can use those funds solely to pay your beneficiaries. Your funds are guaranteed by the partner bank.

Using dopay for business

We will invite you to use our business tool dopay for business (“dopay for business”). With dopay for business you can:

  • add, suspend and remove beneficiaries
  • open dopay personal accounts for your beneficiaries
  • order dopay prepaid cards (powered by Mastercard) for your beneficiaries
  • view the balance of your dopay business account
  • view transactions
  • view and print your dopay business account statement

You will receive the invite through your registered email address. You can set your own password. We will ask you to download an app that supports two-factor authentication for user access and making payments, following the banking standards for payments.

You’re responsible for the actions of people authorised to use your dopay business account

You must be authorised by your business or a sole owner to set up a dopay business account. If authorised by the business, you can add anyone to share the dopay business account with you. If you give them admin permissions, they’ll be able to do everything you can (including opening of dopay personal accounts and ordering of cards for your beneficiaries, making payments, adding other users, who can add other users).

Any admin user can give us instructions on behalf of all users. We won’t ask for you to give instructions jointly, unless it’s to remove a user or close the dopay business account.

If we’re aware there’s a dispute between users, we may ask for instructions to be given jointly or reject the instruction. We may freeze the dopay business account while we investigate the dispute and may request evidence to confirm the dispute has been resolved.

If you want to remove someone from the dopay business account, please contact your account manager.

Opening dopay personal accounts for your beneficiaries

You can request dopay to open personal accounts for your beneficiaries. You will be responsible for providing the name, mobile number and copy of a valid ID of the beneficiary. You may also authorise dopay to request a copy of a valid ID from the beneficiary directly. You undertake and warrant the accuracy of the beneficiary’s information provided to us.

The funds in the personal accounts are guaranteed by the partner bank.

Issuing prepaid cards to your beneficiaries

dopay will facilitate issuing a prepaid card (the “dopay card”) and PIN to each beneficiary. Beneficiaries will be asked to present their valid ID and sign the user agreement and proof of delivery upon card delivery. dopay cannot be held responsible if beneficiaries do not want to accept the card, sign the user agreement and/or proof of delivery.

Transfer of responsibility to beneficiaries

You agree that the dopay personal account and dopay card become the sole responsibility of the beneficiary once he has signed the user agreement and proof of delivery. Funds paid by you into to the beneficiary’s personal account can’t be claimed back after the transfer of responsibility without the beneficiaries’ consent.

You agree that dopay is allowed to communicate directly with the beneficiary and offer the beneficiary other services.

 

Making deposits

You can add funds to your dopay business account by transferring money from your corporate bank account to a ringfenced account held at the partner bank. The account number of the ringfenced account is published in dopay for business. The funds in the ringfenced account are separated from dopay’s own operating bank accounts and can only be used to make payments to beneficiaries. The use of your corporate bank account for funding your dopay business account is subject to acceptance of your account by the partner bank.

You can transfer funds by bank transfer from your accepted corporate bank account. We will send you a notification when your deposit is received into your dopay business account. You can also see your deposits in dopay for business.

Making payments

You can make payments through dopay for business. Payments are secured by using two-factor authentication. We’ll check every payment you make to safeguard your payments. Once a payment goes through, you can’t cancel it. We will send you a notification when a payment is approved and your dopay business account is debited. You can also see payments in dopay for business.

You need enough money in your dopay business account to make payments. If your balance goes below zero because of fees we charge, you’ll need to make a deposit as soon as possible.

We may block your payments and/or prevent user access if:

  • your instructions are unclear
  • we suspect criminal activity on your dopay business account
  • we’re not legally allowed to make the transfer

If we block a payment, we’ll let you know as soon as possible using one or our channels (see ’15. How will we contact you?’)

Payment information

You can find information on all your transactions and actual balance in dopay for business. You can also view and print your regular dopay business account statements from dopay for business.

How is your money protected?

When we receive a deposit for your dopay business account, we place the money into a ringfenced account held at our partner bank. We place the equivalent value of e-money in your dopay business account that you can use to pay your beneficiaries. Your beneficiaries can use their dopay card to withdraw cash from ATMs or make purchases at any point-of-sale or website in Egypt that accepts Mastercard.

So, whatever happens to us, your money is safely held at the partner bank, who is regulated by the Central Bank of Egypt.

How will we contact you?

We will contact you via your mobile phone, email or company address. Our records are considered to be the final evidence of your address. Please let us know if any of these contact details change or are incorrect.
We will notify you if there are any planned or unplanned events effecting our services.

You agree to us on using your information

By accepting these Business Terms, you agree to us using your information to make and receive payments on your dopay business account. You also agree that we share your information with the partner bank and have the right to disclose your information as necessary to satisfy any law or regulation. If you are no longer happy for us to use your information, we will have to close your dopay business account. But we may keep your personal data about you, your directors, your users and other relevant third parties and use it where we have lawful grounds to do so. For example, any records we need to keep for regulatory reasons as mandated by Central Bank of Egypt.

dopay may record incoming and outgoing calls for quality assurance, training and regulatory purposes. You hereby give consent to us to record such calls.

We have a separate Privacy Notice that can be found in dopay for business and on our website, which you should read along these Business Terms.

Fees and charges

You need to pay fees when they are due. You agree that we can deduct fees from your dopay business account. If you don’t have enough money in your dopay business account, we’ll retry debiting your dopay business account each day until your fees are paid. If you haven’t paid your fees within 60 days, we are allowed to close your dopay business account and have the right to claim the fees through different channels.

If something goes wrong

If we discover any security issues affecting your dopay business account, we will contact you as soon as possible in the most secure way, using one of our usual channels (see ’15. How we’ll contact you’ above).
If you see transactions in dopay for business that look wrong, please call us as soon as possible. You have 45 days from the date of the transaction to object a transaction, otherwise the transaction is considered to be final.

We will usually refund you any money if:

  • it was taken after you called us
  • if we haven’t applied secure customer authentication
  • you lost due to our mistakes or inaccuracies with your payments.

But you won’t be able to claim back money you have lost if you or users you authorised:

  • gave us incorrect instructions and we can proof the beneficiary received the payment (although we’ll still try to help you recover your money)
  • purposely didn’t keep your password or two-factor authentication app safe or were very negligent in not keeping them safe or gave them to someone else
  • acted fraudulently.

If money is paid into your dopay business account by mistake you give us permission to correct it without your consultation.

Closing your dopay business account

Once this agreement has started, it won’t end until you or we end it. You can close your dopay business account at any time. If you would like to, please get in touch with us. We’ll ask for joint instruction from all authorised users to close the dopay business account. You need to repay any money you owe us before we can close your dopay business account. Once you have closed it, you won’t be able to access your account.

We can close your dopay business account by giving you at least two months’ notice. We may close your dopay business account or stop using dopay for business immediately if we believe you have:

  • broken these Business Terms
  • put us in a position where we might break the law
  • broken the law or attempted to break the law
  • given us false information at any time
  • been abusive to anyone at dopay or a member of our community.

If your dopay business account is closed, the outstanding balance will be returned to your registered corporate account that you used to fund your dopay business account.

Trademarks and copyrights

You acknowledge that dopay is the exclusive owner of all rights, titles and interest including trademarks, trade names, patents, patentable information, card designs, logos, packing and marketing ideas developed in conjunction with these Business Terms. You hereby agree and consent that you will not post, distribute or reproduce in any way any copyrighted material, trademarks or other proprietary information belonging to dopay.

Indemnification and liability cap

You will indemnify dopay from and against any and all claims, including third party claims, liabilities, and expenses including reasonable attorneys’ fees, resulting from any breach or alleged breach of these Business Terms by you, except to the extent a claim results from the gross negligence, wilful misconduct or fraud of dopay. You are responsible for the actions of and all damages caused by you. You shall not make any settlement that requires a materially adverse act or admission by us or imposes any obligation upon dopay unless you have first obtained dopay’s written consent. dopay shall not be liable for any obligations arising out of a settlement made without its prior written consent.

You recognise that your funds are held on your behalf by the partner bank and in the event of loss, they as a regulated entity are responsible for the security of your funds. In the event that dopay is at fault, dopay’s maximum liability is limited to 6 months fees charged to you.

dopay reserves the right to change/modify the terms and conditions at any time without prior notice, In the event that any changes are made, the revised Business Terms shall be updated on the accounts and on dopay website. You agree to abide by the most recent version of these Business Terms each time you use dopay accounts.

Anti-Money Laundering

You hereby represent and warrant that at all times you have conducted and will conduct your operations in accordance with all laws that prohibit money laundering.

Marketing consent

You consent that dopay may use your company’s name or trademark in marketing the services of dopay or as a reference on its list of clients after obtaining your written consent.

How to make a complaint?

If you have a complaint, please contact us and we will do our best to fix the problem. If you are still not happy, you can refer your complaint to info@cbe.org.eg

Making changes to this agreement

The Business Terms will always be available on dopay for business and our website. We can make changes to our fees or the terms of this agreement from time to time. We are allowed to communicate these changes through your electronic address.
We may make these changes because of changes to:

  • law, regulation or regulatory decisions
  • the way we run our business
  • the cost of providing your dopay business account and running our business, for example a change in our technology and service costs
  • the banking or financial services system

If we make changes to the Business Terms that are clearly in your favour, we will tell you once we have made them. Otherwise, we will give you two-month notice and tell you our reasons in the most secure way, using one of our usual channels (see ’15. How we will contact you’ above).

If you don’t agree to these changes, you can let us know and we will close your account with no fee. If we don’t hear from you before the changes come into effect, we will assume that you are happy and accept the changes we have made.

Legal bits and pieces

If any of the provisions of this agreement shall prove to be or become invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions of this agreement shall not in any way be affected or impaired. The headings in the clauses of these Business Terms are only for convenience and do not affect the meaning of the relative clause.

The laws of the Arabic Republic of Egypt apply to the agreement and disputes will be settled by the Cairo courts.
